Mr. Williams currently practices law throughout the Southeastern United States. Mr. Williams primarily concentrated in Business Planning & Operations, Commercial Real Estate, Mergers & Acquisitions, Federal, State and Local taxation, Estate Planning & Administration. Mr. Williams currently has an AV® Preeminent Martindale–Hubbell Peer Review Rating—the highest possible rating in both legal ability and ethical standards. This designation has been awarded only to approximately five percent of attorneys.
Business Planning and Operation
Mr. Williams advises clients regarding the formation and continued maintenance of all types of business organizations, including corporations, general partnerships, limited partnerships, limited liability partnerships, limited liability companies, cooperatives, joint ventures, and business trusts. He also provided advice regarding the tax consequences related to these entities.
Commercial Real Estate
Mr. Williams has extensive experience in complicated commercial real estate transactions, including joint ventures, real estate limited partnerships, mortgage backed securities, real estate investment trusts, mezzanine financing, and 1031 tax-free exchanges. He represents financial institutions, sponsors, developers and investors in a wide variety of real estate projects. Mr. Williams also assisted his clients with issues involving zoning, land use, and the governmental regulation of real estate.
Mergers & Acquisitions
Mr. Williams represents both buyers and sellers in all types of mergers and acquisitions. He structures transactions in a manner that reflect the business deal, while accomplishing it in a tax-efficient manner.
Estate Planning & Administration
Mr. Williams works closely with individual clients to enable them to accomplish their disposition goals while minimizing wealth-transfer and income taxes. He represents clients in all aspects of court proceedings involving estates, trusts, guardianships, and conservatorships.He also advised many clients on the succession of closely held businesses.
Mr. Williams served on Secretary of State Delbert Hosemann’s Policy and Research Committee on Partnerships/LLCs, which is responsible for examining the current laws related to partnerships and LLCs and making recommendations to the Mississippi Legislature regarding need of changes to such laws. As a result of the efforts made by this committee, the Mississippi Legislature in the 2010 Regular Session enacted House Bill No. 683, which completely revised the Mississippi limited liability act.
